Terms of Service

Welcome to Toodday. These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and Toodday, an individual operating as a freelancer based in Mexico ("Toodday", "we", "us") that governs your access to and use of the Toodday web application, marketing site, APIs, and related services (collectively, the "Service").

By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. By using the Service you represent that you meet these requirements.

2. Accounts and Authentication

2.1 You create your account through Clerk, our authentication provider. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2.2 You agree to provide accurate, current, and complete information during registration and to keep it updated.

2.3 We may suspend or terminate accounts that violate these Terms, that we reasonably suspect of fraud or abuse, or that are inactive for an extended period.

3. Subscription, Free Trial, and Billing

3.1 Subscription Plans. The Service is provided on a paid subscription basis. The current price is USD $19.00 per month, billed monthly in advance. Prices may change with at least 30 days' notice; changes do not affect your current billing period.

3.2 Free Trial. New customers receive a 7-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial ends, your payment method will be automatically charged for the first monthly subscription period.

3.3 Payment Processing. All payments are processed by Stripe, Inc. ("Stripe"). By providing payment information, you authorize us and Stripe to charge your payment method for all fees incurred. You agree to Stripe's terms and privacy policy, available at https://stripe.com/legal.

3.4 Renewals. Subscriptions renew automatically at the end of each billing period unless canceled. You can cancel at any time via the Customer Portal accessed from your account settings.

3.5 Cancellation. Cancellations take effect at the end of the current billing period. You retain access to the Service until that date.

3.6 Refunds. Subscription fees are non-refundable except where required by applicable law. We do not pro-rate refunds for partial billing periods. If you believe you were charged in error, contact support@toodday.com within 30 days.

3.7 Taxes. Prices are listed exclusive of applicable taxes. Stripe Tax may add VAT, sales tax, or other taxes to your invoice based on your location, in addition to the subscription fee.

3.8 Failed Payments. If a payment fails, we will retry according to Stripe's standard schedule. After repeated failures, your account may be suspended or canceled.

4. Your Content and Data

4.1 Ownership. You retain all rights, title, and interest in the data, content, files, notes, tasks, attachments, and other materials you create, upload, or store in the Service ("Customer Content"). We claim no ownership over Customer Content.

4.2 License to Operate the Service. You grant us a limited, non-exclusive, royalty-free license to host, store, transmit, display, and process Customer Content solely as necessary to provide the Service to you.

4.3 Responsibility. You are solely responsible for Customer Content and for ensuring you have the right to upload and store it. You must not upload content that is illegal, infringing, defamatory, or otherwise violates these Terms or applicable law.

4.4 Backups. While we use industry-standard infrastructure (Supabase Postgres, Cloudflare R2) with built-in redundancy, you are responsible for maintaining your own backups of critical data. Use the Data Export feature in Settings to download your data.

5. Third-Party AI Providers (Bring Your Own Key)

5.1 BYOK Model. The Service includes optional AI-powered features (such as automated standup reports and daily summaries) that require you to provide your own API key from a supported third-party AI provider (e.g., Anthropic, OpenAI, Google, DeepSeek) ("AI Provider").

5.2 Your Account with the AI Provider. You are responsible for creating and maintaining your account with the AI Provider, agreeing to their terms of service, and paying all fees they charge for API usage. We are not a party to your agreement with the AI Provider and have no responsibility for their pricing, availability, or behavior.

5.3 Key Storage. API keys you provide are encrypted at rest using AES-256-GCM encryption before being stored in our database. We use the encrypted keys solely to make API calls on your behalf when you invoke an AI feature.

5.4 Content Sent to AI Providers. When you use an AI feature, relevant Customer Content (such as ticket descriptions, task content, or standup data) is transmitted to the AI Provider you selected. Your content becomes subject to the AI Provider's data handling and privacy practices. We recommend reviewing their policies before enabling AI features.

5.5 No Warranty on AI Output. AI-generated content may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing AI output before relying on it for decisions. We make no representations about the accuracy of AI-generated content.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Bypass or attempt to bypass any rate limits, access controls, or security measures
  • Use the Service to send spam, malware, or any malicious content
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Attempt to access other customers' data or accounts
  • Use automated tools to scrape, copy, or harvest data from the Service beyond normal API usage
  • Upload content that infringes third-party intellectual property or violates privacy rights

Violation of this section may result in immediate suspension or termination without refund.

7. Service Availability and Changes

7.1 We strive for high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, infrastructure issues, third-party outages (Supabase, Vercel, Cloudflare, Clerk, Stripe), or events outside our reasonable control.

7.2 We may modify, add, or remove features at any time. We will provide reasonable notice of material changes that adversely affect existing functionality.

7.3 We may discontinue the Service entirely with at least 60 days' written notice, in which case unused prepaid fees will be refunded on a pro-rata basis.

8. Intellectual Property

8.1 The Service, including all software, design, content, trademarks, and documentation (excluding Customer Content), is owned by us or our licensors and is protected by intellectual property laws.

8.2 We grant you a limited, non-exclusive, non-transferable license to use the Service during your active subscription period, subject to these Terms.

9. Disclaimers

9.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

9.2 We do not warrant that the Service will be error-free, secure, or uninterrupted, or that defects will be corrected.

10. Limitation of Liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOODDAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

10.2 OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

10.3 These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Toodday, its operator, and its agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your Customer Content, (c) your violation of these Terms, or (d) your violation of any third-party right, including the rights of any AI Provider.

12. Termination

12.1 You may terminate your account at any time via the Customer Portal or by emailing support@toodday.com.

12.2 We may suspend or terminate your account immediately for material breach of these Terms, fraudulent activity, or non-payment.

12.3 Upon termination, your right to access the Service ends. We will retain Customer Content for 30 days after termination, after which it will be deleted. You should export your data before terminating.

12.4 Sections that by their nature should survive termination (including 4, 8, 9, 10, 11, 13, 14) will survive.

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of the United Mexican States (México), without regard to its conflict of laws principles.

13.2 The competent courts of Querétaro, Querétaro, México will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and both parties waive any objection to such venue.

13.3 Nothing in this section limits either party's right to seek equitable or injunctive relief from any court of competent jurisdiction.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified by email and/or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

15.2 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

15.3 No Waiver. Failure to enforce any provision is not a waiver of that provision.

15.4 Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale, merger, or transfer of business.
